Perk Partner Terms & Conditions

Welcome to the Housr Perk Partner Terms & Conditions ("Conditions") that govern the Perks Programme and the relationship between Housr Living Ltd ("Housr", "we", "us," or "our"), and participating Perk Partners ("Perk Partner", or "you").

By subscribing to the Perks Programme, or using the Perks Partner Portal, you agree to these Conditions, which include promoting your brand through the Housr platform and offering exclusive perks to students.

1. Interpretation

The following definitions and rules of interpretation apply in these Conditions.

1.1.

Definitions:

"Applicable Data Protection Laws"
all applicable data protection and privacy legislation in force from time to time in the UK including the UK GDPR; the Data Protection Act 2018 (DPA 2018) (and regulations made thereunder) and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended.
"Applicable Laws"
the law of the United Kingdom or a part of the United Kingdom.
"Business Day"
a day other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.
"Confidential Information"
information that one party discloses or makes available to the other party ("Recipient") in connection with the Contract and which is marked confidential or would be regarded as confidential by a reasonable person. It does not include information that the recipient already knew, is or becomes public through no fault of the recipient, or is rightfully given to the recipient by a third party without confidentiality obligations.
"Contract"
the contract between Housr and the Perks Partner for the Subscription, in accordance with these Conditions and the Order.
"Housr"
Housr Living Ltd, a company registered in England and Wales with company number 13320192.
"Initial Subscription Term"
the initial term for which the Perks Partner subscribe to the Perks Programme in accordance with Condition 16.1.
"Order"
an order by the Perks Partner to join the Perks Programme.
"Perks Partner Portal"
Housr's software portal to be used by the Perk Partner as part of the Perk Programme in accordance with these Conditions.
"Perks Partner Personal Data"
any personal data which Housr processes in connection with the Subscription, in the capacity of a processor on behalf of the Perks Partner.
"Perks Programme"
the programme of Services and benefits provided by Housr to Perks Partners as detailed at www.housr.com.
"Subscription Term"
the term of the Perks Partner's subscription to the Perks Programme as set out in Order and in accordance with Condition 16.1.
"Purpose"
the purposes for which the Perks Partner Personal Data is processed, as set out in Condition 14.6.
"Renewal Period"
the period for which the Perks Partner may renew their Subscription as set out in Condition 16.1.
"Services"
the services provided by Housr as part of the Perk Programme.
"Subscription"
the Perks Partner subscription to the Perks Programme, being a contract between the Perks Partner and Housr in accordance with the Order and these Conditions.
"Subscription Fees"
the subscription fees payable by the Perks Partner to Housr to be part of the Perks Programme, as set out in the Order.
"UK GDPR"
has the meaning given to it in the Data Protection Act 2018.
"Users"
student who use Housr's platforms and may be connected with Perks Partners as part of the Perks Programme.

2. Perks Programme Overview

2.1.

The Perks Programme is designed to:

2.1.1.

connect local businesses with a vibrant student audience ("Users") through the Perks Partner Portal;

2.1.2.

facilitate the promotion of products and services via tailored advertising campaigns;

2.1.3.

enable Perk Partners to offer exclusive perks ("Perks") and discounts to Users; and

2.1.4.

allow Perk Partners to select from a variety of packages, each tailored to meet specific business goals and needs.

3. Basis of contract

3.1.

The Perks Programme and the Contract is subject to these Conditions, and they apply to the exclusion of any other terms that the Perks Partner may seek to impose or incorporate.

3.2.

Housr is free to accept or reject each Order or a request to join the Perks Programme at its absolute discretion. When Housr issues a written acceptance of an Order, the Subscription comes into existence, being a contract between the Perks Partner and Housr ("Effective Date").

3.3.

If there is any conflict or inconsistency between any of the provisions in these Conditions and the provisions of an Order, the provisions of these Conditions prevail.

4. Eligibility

4.1.

To join the Perks Programme, you must:

4.1.1.

operate a legally recognised business, registered in the United Kingdom or otherwise authorised to trade in the UK;

4.1.2.

offer goods, services, or experiences that align with the interests of Housr's student community; and

4.1.3.

agree to provide Perks for Users, on an exclusive basis where possible.

4.2.

Housr reserves the right to remove any Perks Partner at any time with notice. Housr may suspend or terminate participation immediately for non-compliance with applicable law, university policy, or brand standards.

5. Perk Partner Packages

5.1.

Perk Partners may choose from different package tiers of Services as outlined on the Housr website and as set out in the Order. Each package offers a unique combination of:

5.1.1.

advertising placements (e.g., banners, featured listings);

5.1.2.

access to bespoke marketing campaigns;

5.1.3.

collaboration with student ambassadors; and

5.1.4.

opportunities to participate in events and promotions.

5.2.

Unless otherwise agreed, Subscriptions automatically renew per Section 16.1, and the Initial Subscription Term will be agreed in the Order. The Perks Partner acknowledges and agrees that once an Initial Subscription Term is selected, it is a binding minimum commitment, and the Perks Partner may not downgrade or cancel mid-Initial Subscription Term except as expressly permitted herein.

5.3.

Perk Partners may select their preferred package during onboarding and the Order will set out details of the package relevant for the Subscription. Upgrades to higher-tier packages are allowed at any time, subject to updated pricing, and the Order shall be deemed amended accordingly.

5.4.

Perk Partners requiring bespoke solutions may contact Housr for a custom package tailored to their specific needs, and the Order shall be deemed amended accordingly.

6. Perks and Offers

6.1.

Perk Partners must provide Perks, discounts, or offers accessible to Users, providing these on an exclusive basis where possible. The terms of each Perk (e.g., redemption limits, expiration dates) must be clear and honoured for any eligible User. Any changes to Perks must be communicated to Housr promptly. Any public promotion offered by the Perks Partner for the same product or service shall be extended to Users during the same period.

6.2.

All Perks and promotional offers must comply with the UK Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and any applicable guidance issued by the Advertising Standards Authority (ASA) and the Competition and Markets Authority (CMA).

7. Audit Rights

7.1.

Housr reserves the right, upon reasonable notice, to request records or conduct an audit of Perks Partner's compliance with these Conditions, including but not limited to redemption of Perks and reporting of usage. Partner agrees to cooperate in good faith and provide supporting documentation within ten (10) business days of such request.

8. Obligations of a Perks Partner

8.1.

Relationship between Perk Partners: Becoming a Perk Partner establishes a relationship solely between you (the Perk Partner) and Housr. The Subscription does not create any official, implied, or otherwise formalised partnership, endorsement, or affiliation between the Perks Partner and any other Perk Partner, customer, institution, or affiliate.

8.2.

No shared responsibilities: Perk Partners are not responsible for the actions, commitments, or obligations of other Housr Perk Partners. Any collaboration between Partners outside the Housr platform is entirely independent and is not endorsed or facilitated by Housr unless explicitly agreed upon in writing.

8.3.

Advertising content: Perk Partners must provide high-quality, accurate advertising materials aligned with their selected package. All content must comply with Housr's advertising guidelines and the ASA's UK Advertising Codes (CAP and BCAP Codes).

8.4.

Collaboration: Actively engage with Housr marketing and partner activation teams to ensure the success of campaigns and promotions.

8.5.

Redemption process: Ensure that Perks and offers are easy to redeem for students. Address any redemption issues promptly to maintain User satisfaction.

8.6.

Marketing Approvals: Partner may not use Housr's name, logos, trademarks, or make public announcements referencing Housr without prior written approval. All marketing collateral, online postings, or promotional materials referencing Housr must be submitted for review and written approval before publication.

9. Support and Analytics

9.1.

Depending on the package, Partners will receive varying levels of support, from general assistance to dedicated account management as part of the Services. Housr will use commercially reasonable efforts to provide the Services, including timely support, publish Perks promptly, and deliver analytics reports on a regular basis. The Perks Partner acknowledges that response times may vary by package level and agrees that service levels are not guaranteed unless expressly stated in writing.

10. Event Participation

10.1.

Details of any event participation as part of the Perks Programme shall be agreed between the Perks Partner and Housr.

11. Perks Partner Portal

11.1.

In consideration of payment of the Subscription Fees and the Perks Partner complying with these Conditions, Housr hereby grants to Perks Partner a non-exclusive, non-transferable right and licence, without the right to grant sublicences, to access and use the Perks Partner Portal during the Subscription Term solely for the use as part of the Perks Programme.

11.2.

Password Security: The Perks Partner is solely responsible for maintaining the security of their Housr account and must safeguard your login credentials at all times.

12. Intellectual Property Rights

12.1.

Perk Partner grants to Housr a non-exclusive, worldwide, royalty-free, paid-up, perpetual, irrevocable, transferable, and sub-licensable licence and right to use, modify, reproduce, sublicence, publicly display, distribute, broadcast, transmit, stream, publish, and publicly perform Perk Partner's name, logos, trademarks, service marks, domain names, and any audiovisual, written, or graphic content provided or approved by Perk Partner ("Perk Partner IP"), in connection with the promotion and distribution of the Perk Partner offering in all media now known or hereafter developed.

12.2.

Perk Partner acknowledges that Housr owns all rights in and to the Perks Partner Portal, Website, User data, Housr trade names, logos, trademarks, and all content created by or for Housr ("Housr IP"). Perk Partner shall not use the Housr IP except as expressly permitted under these Conditions.

12.3.

When creating Perk Partner IP, any goods or services used as part of user generated content ("UGC") or advertising content creation will be provided by the Perk Partner at no cost to Housr. UGC reflects the views of the user(s) creating the content, not those of Housr. Publication of UGC does not constitute endorsement by Housr. Upon termination of this Agreement, all rights of use immediately cease.

13. Fees and Payments

13.1.

The Perks Partner shall pay the Subscription Fees to Housr for the User Subscriptions in accordance with this Condition 13 and the Order.

13.2.

The Perks Partner shall on the Effective Date provide to Housr valid, up-to-date and complete credit card details and any other relevant valid, up-to-date and complete contact and billing details and the Perks Partner hereby authorises Housr to bill such credit card:

13.2.1.

on the Effective Date for the Subscription Fees payable in respect of the Initial Subscription Term; and

13.2.2.

subject to Condition 13.5, at the end of the Initial Subscription Term and each Renewal Period for the Subscription Fees payable in respect of the next Renewal Period.

13.3.

If Housr has not received payment within 14 days after the due date, and without prejudice to any other rights and remedies of Housr:

13.3.1.

Housr may without liability to the Perks Partner, disable the Perks Partner's password, account and access to all or part of the Perks Programme and Housr shall be under no obligation to provide any or all of the Services while the monies concerned remain unpaid; and

13.3.2.

interest shall accrue on a daily basis on such due amounts at an annual rate equal to 8% over the then current base lending rate of the Bank of England from time to time, commencing on the due date and continuing until fully paid, whether before or after judgment.

13.4.

All amounts and fees stated or referred to in these Conditions:

13.4.1.

shall be payable in pounds sterling;

13.4.2.

are non-cancellable and non-refundable; and

13.4.3.

are exclusive of value added tax, which shall be added to Housr's invoice(s) at the appropriate rate.

13.5.

Housr shall be entitled to increase the Subscription Fees at the start of each Renewal Period upon 30 days' prior notice to the Perks Partner and the Order shall be deemed to have been amended accordingly.

14. Data Protection

14.1.

For the purposes of this Condition 14, the terms "controller", "processor", "data subject", "personal data", "personal data breach" and "processing" shall have the meaning given to them in the UK GDPR.

14.2.

Both parties will comply with all applicable requirements of Applicable Data Protection Laws. This Condition 14 is in addition to, and does not relieve, remove or replace, a party's obligations or rights under Applicable Data Protection Laws.

14.3.

The parties have determined that, for the purposes of Applicable Data Protection Laws Housr shall process personal data as a processor on behalf of the Perks Partner.

14.4.

By agreeing to these Conditions, the Perks Partner consents to (and shall procure all required consents, from its personnel, representatives and agents, in respect of) all actions taken by Housr in connection with the processing of Housr Personal Data, provided these are in compliance with the then-current version of Housr's privacy policy available at www.housr.com/en-gb/privacy ("Privacy Policy"). In the event of any inconsistency or conflict between the terms of the Privacy Policy and this Agreement, the Privacy Policy will take precedence.

14.5.

Without prejudice to the generality of Condition 14.2, the Perks Partner will ensure that it has all necessary appropriate consents and notices in place to enable lawful transfer of Housr Personal Data and Perks Partner Personal Data to Housr and lawful collection of the same by Housr for the duration and purposes of the Subscription.

14.6.

In relation to the Perks Partner Personal Data:

14.6.1.

Scope of processing: Processing of personal data submitted by the Perk Partner to Housr in connection with the Perk Partner's account on, and use of, the Perks Partner Portal, including onboarding, account administration, billing, and campaign/redemption reporting.

14.6.2.

Nature of processing: Collection, storage, hosting, retrieval, organisation, and disclosure (to the Perk Partner) of the relevant personal data, carried out electronically via the Perks Partner Portal and Housr's supporting IT systems.

14.6.3.

Purpose of processing: To enable the Perk Partner to participate in the Perks Programme, including account set-up and administration, billing and payment processing, provision of support, and delivery of analytics/reporting on Perk redemption and campaign performance.

14.6.4.

Duration of the processing: the duration of the Subscription and such period thereafter to allow the parties to comply with their obligations.

14.6.5.

Types of personal data: Names, job titles, business email addresses and phone numbers, login credentials, billing and payment contact details, and any personal data contained in advertising or promotional content submitted by the Perk Partner via the Portal.

14.6.6.

Categories of data subject: The Perk Partner's employees, officers, representatives, and other individuals authorised by the Perk Partner to use the Perks Partner Portal on its behalf.

14.7.

Without prejudice to the generality of Condition 14.2 Housr shall, in relation to Perks Partner Personal Data:

14.7.1.

process that Perks Partner Personal Data only on the documented instructions of the Perks Partner, which shall be to process the Perks Partner Personal Data for the purposes set out in Condition 14.6, unless Housr is required by Applicable Laws to otherwise process that Perks Partner Personal Data. Where Housr is relying on Applicable Laws as the basis for processing Perks Partner Personal Data, Housr shall notify the Perks Partner of this before performing the processing required by the Applicable Laws unless those Applicable Laws prohibit the Provider from so notifying the Perks Partner on important grounds of public interest. Housr shall inform the Perks Partner if, in the opinion of Housr, the instructions of the Perks Partner infringe Applicable Data Protection Laws;

14.7.2.

implement the technical and organisational measures to protect against unauthorised or unlawful processing of Perks Partner Personal Data and against accidental loss or destruction of, or damage to, Perks Partner Personal Data, which are appropriate to the harm that might result from the unauthorised or unlawful processing or accidental loss, destruction or damage and the nature of the data to be protected, having regard to the state of technological development and the cost of implementing any measures;

14.7.3.

ensure that any personnel engaged and authorised by Housr to process Perks Partner Personal Data have committed themselves to confidentiality or are under an appropriate statutory or common law obligation of confidentiality;

14.7.4.

assist the Perks Partner insofar as this is possible (taking into account the nature of the processing and the information available to Housr), and at the Perks Partner's cost and written request, in responding to any request from a data subject and in ensuring the Perks Partner's compliance with its obligations under Applicable Data Protection Laws with respect to security, breach notifications, impact assessments and consultations with supervisory authorities or regulators;

14.7.5.

notify the Perks Partner without undue delay on becoming aware of a personal data breach involving the Perks Partner Personal Data;

14.7.6.

at the written direction of the Perks Partner, delete or return Perks Partner Personal Data and copies thereof to the Perks Partner on termination of the agreement unless Housr is required by Applicable Law to continue to process that Perks Partner Personal Data. For the purposes of this Condition 14.7.6 Perks Partner Personal Data shall be considered deleted where it is put beyond further use by Housr; and

14.7.7.

maintain records to demonstrate its compliance with this Condition 14.

14.8.

The Perks Partner hereby provides its prior, general authorisation for Housr to:

14.8.1.

appoint processors to process the Perks Partner Personal Data, provided that Housr:

(a)

shall ensure that the terms on which it appoints such processors comply with Applicable Data Protection Laws, and are consistent with the obligations imposed on Housr in this Condition 14;

(b)

shall remain responsible for the acts and omission of any such processor as if they were the acts and omissions of Housr; and

(c)

shall inform the Perks Partner of any intended changes concerning the addition or replacement of the processors, thereby giving the Perks Partner the opportunity to object to such changes provided that if the Perks Partner objects to the changes and cannot demonstrate, to Housr's reasonable satisfaction, that the objection is due to an actual or likely breach of Applicable Data Protection Law, the Perks Partner shall indemnify Housr for any losses, damages, costs (including legal fees) and expenses suffered by Housr in accommodating the objection.

14.8.2.

transfer Perks Partner Personal Data outside of the UK as required for the Purpose, provided that Housr shall ensure that all such transfers are effected in accordance with Applicable Data Protection Laws. For these purposes, the Perks Partner shall promptly comply with any reasonable request of Housr, including any request to enter into standard data protection clauses adopted by the EU Commission from time to time (where the EU GDPR applies to the transfer) or adopted by the UK Information Commissioner from time to time (where the UK GDPR applies to the transfer).

14.9.

Either party may, at any time on not less than 30 days' notice, revise this Condition 14 with any applicable standard clauses approved by the EU Commission or the UK Information Commissioner's Office or forming part of an applicable certification scheme or code of conduct ("Amended Terms"). Such Amended Terms shall apply when replaced by attachment to the Order, but only in respect of such matters which are within the scope of the Amended Terms.

15. Limitation

15.1.

Perk Partner represents and warrants that:

15.1.1.

it has the right, power, and authority to enter into the Subscription;

15.1.2.

it holds all licences, registrations, and authorisations required under applicable UK law to provide its goods and services, including any required by the Food Standards Agency, the Licensing Act 2003, or other relevant regulatory bodies; (c) the Perk will be available for immediate redemption upon publication and Partner will have sufficient goods and/or services available to fulfil its obligations; (d) the terms of the Perk do not and will not violate any applicable UK law or regulation, including but not limited to the Licensing Act 2003, the Consumer Rights Act 2015, and the Consumer Protection from Unfair Trading Regulations 2008;

15.1.3.

the Perk Partner IP does not infringe any third-party intellectual property rights;

15.1.4.

all advertising and promotional materials comply with the CAP and BCAP Codes administered by the ASA;

15.1.5.

its business information as provided in the Order is accurate; and

15.1.6.

it is not authorised to resell, broker, or otherwise disclose any Housr data to any third party.

15.2.

To the extent permitted under applicable UK law, Perk Partner agrees to defend, indemnify, and hold Housr, its affiliated entities, officers, directors, agents, and employees harmless from and against any claims, penalties, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to: (a) any breach by Perk Partner of these Conditions or the Order; (b) any tax obligations of Perk Partner arising from its goods and services; (c) any claim arising from a violation of applicable law or regulation by Perk Partner; (d) any claim by a User or third party arising out of goods or services provided by Perk Partner; or (e) Perk Partner's negligence, fraud, or wilful misconduct.

15.3.

Housr's liability is limited to the Subscription Fees paid by the Perk Partner in the last two (2) months. Housr is not responsible for indirect, incidental, or consequential damages, except to the extent that such limitations are not permitted under applicable UK law (including the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015 where applicable).

15.4.

Nothing in these Conditions limits or excludes either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

16. Term and Termination

16.1.

The Subscription shall, unless otherwise terminated as provided in this Condition 16, commence on the Effective Date and shall continue for the Initial Subscription Term and, thereafter, the Subscription shall be automatically renewed for successive periods of the same length as the Initial Subscription Term (each a "Renewal Period"), unless:

16.1.1.

either party notifies the other party of termination, in writing, at least 30 days before the end of the Initial Subscription Term or any Renewal Period, in which case the Subscription shall terminate upon the expiry of the applicable Initial Subscription Term or Renewal Period; or

16.1.2.

otherwise terminated in accordance with the provisions of these Conditions;

and the Initial Subscription Term together with any subsequent Renewal Periods shall constitute the "Subscription Term".

16.2.

Termination by Housr: Housr may terminate the Subscription at any time, effective immediately upon written notice to Partner, if Partner (i) fails to pay any fees when due, (ii) breaches these Conditions, (iii) provides misleading offers, or (iv) engages in conduct that damages or could reasonably be expected to damage Housr's reputation.

16.3.

Effect of Termination: Termination of the Subscription will not relieve the Partner of its obligation to pay all fees for the full Term. In the event of early termination by Partner, or termination by Housr for Partner's breach or non payment, all fees for the remainder of the Term shall immediately become due and payable.

16.4.

Post-Termination Obligations: Upon expiration or termination, Partner must promptly (i) remove all references to Housr from its marketing materials, and (ii) honour any Perks claimed by Users prior to termination. All licences granted in these Conditions shall be terminated on termination of the Subscription. Sections intended to survive termination (including payment, indemnification, limitation of liability, confidentiality, and IP ownership) will continue in full force and effect.

17. General

17.1.

Force majeure. Neither party will be liable for any delay or failure in performing any of its obligations for so long as and to the extent that the delay or failure results from events, circumstances or causes beyond its reasonable control.

17.2.

Assignment and other dealings.

17.2.1.

The Perk Partner shall not assign, novate, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights and obligations under the Subscription without the prior written consent of Housr.

17.2.2.

Housr may at any time assign, novate, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights and obligations under the Subscription.

17.3.

Confidentiality.

17.3.1.

Each party undertakes that it shall not at any time disclose to any person any Confidential Information of the other party, except as permitted by Condition 17.3.2.

17.3.2.

Each party may disclose the other party's Confidential Information:

(a)

to those of its employees, officers, representatives, contractors, subcontractors or advisers who need to know that information for the purposes of exercising its rights or carrying out its obligations under the Subscription ("Representatives"). Each party shall ensure that its Representatives comply with confidentiality obligations which are substantially equivalent to those set out in this Condition 17.3; and

(b)

as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

17.3.3.

Neither party shall use the other party's Confidential Information for any purpose other than to exercise its rights and perform its obligations under the Subscription.

17.4.

Entire agreement.

17.4.1.

These Conditions and the Order constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances and understandings between them, whether written or oral, relating to its subject matter.

17.4.2.

Each party acknowledges that in entering into the Subscription it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Contract. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Contract.

17.5.

Variation. Housr may vary these Conditions from time-to-time by posting an updated version at www.housr.com/perkterms but, unless otherwise agreed in writing and signed by the parties, no variation will apply to Orders already in force prior to that variation.

17.6.

Waiver. A waiver of any right or remedy is only effective if given in writing and will not be deemed a waiver of any subsequent right or remedy. A failure or delay to exercise, or the single or partial exercise of, any right or remedy does not waive that or any other right or remedy, nor does it prevent or restrict any further exercise of that or any other right or remedy.

17.7.

Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it will be deemed deleted, but that will not affect the validity and enforceability of the rest of the Contract.

17.8.

Notices.

17.8.1.

Any notice given to a party under or in connection with the Contract shall be in writing and shall be:

(a)

delivered by hand or by pre-paid first-class post or other next working day delivery service to its registered office (if a company) or its principal place of business (in any other case); or

(b)

sent by email to the addresses in the Order (or to any substitute address as it may have notified to the other party).

17.8.2.

Any notice will be deemed to have been received:

(a)

if delivered by hand, at the time the notice is left at the proper address;

(b)

if sent by pre-paid first-class post or other next working day delivery service, at 9.00 am on the second Business Day after posting; or

(c)

if sent by email, at the time of transmission or, if this time falls outside business hours, when business hours resume. In this Condition 17.8.2(c), "business hours" means 9.00am to 5.00pm Monday to Friday on a day that is not a public holiday in the place of receipt.

17.9.

Third party rights. The Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.

17.10.

Relationship of the parties. Nothing in these Conditions is intended to, or will be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party.

17.11.

Governing law and jurisdiction. The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, will be governed by the law of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
